Terms of Service

RevEdge.ai, Inc.
A Delaware Corporation

Effective Date: March 6, 2026

These Terms of Service (“Terms”) govern access to and use of the RevEdge.ai platform and related services.

1. Agreement to Terms

These Terms constitute a legally binding agreement between RevEdge.ai, Inc. (“RevEdge”, “Company”, “we”, “our”, or “us”) and the organization or individual using the RevEdge platform (“Customer”, “you”, or “your”).

By accessing or using RevEdge.ai, you agree to these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

RevEdge.ai is intended solely for business and enterprise use and is not intended for consumer use.

2. Description of the RevEdge.ai Platform

RevEdge.ai provides a revenue intelligence and operational analytics platform designed to help executive and revenue leadership teams understand signals within their go-to-market systems and identify opportunities and risks earlier in the revenue cycle.

The RevEdge platform may include:

  • integration with customer relationship management platforms (e.g., Salesforce, HubSpot)
  • integrations with sales communication tools (email, calendar, call intelligence systems)
  • ingestion and analysis of revenue activity data
  • AI-assisted diagnostics and pattern recognition
  • executive reporting, alerts, and performance insights
  • workflow automation and operational recommendations
  • API access and system integrations

RevEdge does not replace CRM systems and does not function as a system of record for customer relationships.

RevEdge may update, improve, or modify the platform periodically to enhance functionality or security.

3. Accounts and Access

To access the RevEdge platform, Customer must create an account.

Customer agrees to:

  • provide accurate and complete account information
  • maintain the confidentiality of login credentials
  • ensure that only authorized personnel access the platform
  • promptly notify RevEdge of any unauthorized access

Customer is responsible for all activities conducted through its account.

RevEdge reserves the right to suspend accounts that violate these Terms or pose a security risk.

4. Subscription and Payment

Subscription Model

RevEdge.ai is offered on a subscription basis under pricing plans described on the RevEdge website or in a Customer Order Form.

Subscription plans may vary based on:

  • integrations
  • data volume
  • enterprise features
  • implementation requirements

Billing

All subscription fees are billed in advance.

Customer authorizes RevEdge to charge the payment method provided at the start of each billing cycle.

Failure to pay may result in suspension or termination of access.

Price Adjustments

RevEdge may update subscription pricing with at least 60 days notice.

Price changes will apply at the next billing cycle.

Refund Policy

Fees are non-refundable, except where required by applicable law or expressly stated in a Customer Order Form.

5. Customer Data

Ownership

Customer retains all ownership rights in the data it uploads or makes available through the RevEdge platform (“Customer Data”).

RevEdge does not claim ownership of Customer Data.

License to Process Data

Customer grants RevEdge a limited, non-exclusive license to process Customer Data solely to:

  • provide the RevEdge platform
  • maintain platform functionality
  • generate analytics and insights
  • support integrations requested by the Customer

6. Platform Analytics and Aggregated Data

RevEdge may generate derived analytics and aggregated system insights based on usage of the platform.

These analytics:

  • will not identify Customer
  • will not disclose Customer-specific data
  • may be used to improve the platform, train internal analytical systems, and develop benchmarking insights.

RevEdge will not sell Customer Data to third parties.

7. Artificial Intelligence and Analytical Features

RevEdge.ai includes analytical and AI-assisted capabilities designed to identify patterns and interpret signals within revenue data.

Customer acknowledges that:

  • AI-generated outputs are interpretive insights, not guarantees of business outcomes
  • Recommendations may depend on the completeness and accuracy of Customer Data
  • Outputs should be evaluated by Customer personnel before making operational decisions

RevEdge does not guarantee forecasting accuracy, revenue outcomes, or specific business results.

8. Third-Party Integrations

RevEdge may integrate with third-party services including CRM systems, communication tools, and analytics platforms.

Customer is responsible for:

  • maintaining valid licenses for those systems
  • authorizing RevEdge integrations
  • ensuring compliance with third-party terms

RevEdge is not responsible for outages, disruptions, or changes caused by third-party services.

9. Acceptable Use

Customer agrees not to use the RevEdge platform to:

  • violate any law or regulation
  • attempt to gain unauthorized access to systems
  • upload malware or malicious code
  • scrape or harvest data from other users
  • engage in fraudulent or deceptive conduct

Customer also agrees not to upload regulated sensitive data, including:

  • medical records
  • government identification numbers
  • payment card information
  • biometric identifiers

Customer also agrees that accounts may be periodically reviewed to ensure policy compliance.

10. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable care.

Confidential information includes:

  • product designs
  • algorithms
  • business plans
  • pricing terms
  • non-public data

Confidentiality obligations survive termination of the agreement.

11. Security

RevEdge maintains administrative, technical, and organizational safeguards designed to protect Customer Data.

Security measures include:

  • encryption of data in transit and at rest
  • access control and authentication systems
  • security monitoring
  • vulnerability management
  • incident response procedures

RevEdge will notify Customer without undue delay in the event of a confirmed security breach affecting Customer Data.

12. Service Availability

RevEdge will use commercially reasonable efforts to maintain high platform availability.

Scheduled maintenance may occur periodically.

Service interruptions may occur due to:

  • infrastructure outages
  • third-party service disruptions
  • internet connectivity issues
  • force majeure events

13. Intellectual Property

The RevEdge platform, including:

  • software
  • models
  • algorithms
  • product design
  • documentation

is the exclusive property of RevEdge.ai, Inc. and protected under applicable intellectual property laws.

Nothing in these Terms grants Customer ownership rights in the platform.

14. Limitation of Liability

To the maximum extent permitted by law:

RevEdge shall not be liable for:

  • indirect damages
  • loss of revenue
  • loss of business opportunities
  • consequential damages

RevEdge’s total liability under these Terms will not exceed the total subscription fees paid by Customer during the twelve (12) months preceding the claim.

15. Indemnification

Customer agrees to indemnify RevEdge against claims arising from:

  • Customer’s misuse of the platform
  • Customer Data that violates third-party rights
  • Customer’s violation of applicable laws.

16. Term and Termination

These Terms remain in effect for the duration of the Customer subscription.

Either party may terminate for material breach if the breach is not cured within 30 days after written notice.

Upon termination:

  • Customer access will end
  • RevEdge will retain Customer Data for up to 90 days to allow export.

After that period, RevEdge may delete Customer Data.

17. Export Compliance

Customer agrees to comply with all applicable export control and sanctions laws including those administered by:

  • the United States
  • the European Union
  • the United Kingdom

The RevEdge platform may not be used by sanctioned parties or in embargoed jurisdictions.

18. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

Disputes shall be resolved in the state or federal courts located in Delaware.

19. International Customers

RevEdge provides services globally.

Customer Data may be processed in the United States or other jurisdictions where RevEdge or its infrastructure providers operate.

Where required under applicable data protection law, RevEdge relies on:

  • EU Standard Contractual Clauses
  • UK International Data Transfer Agreement
  • other lawful transfer mechanisms.

20. Order Forms

If Customer executes a separate Order Form or Subscription Agreement with RevEdge, the terms of that Order Form shall control in the event of any conflict with these Terms.

21. Changes to Terms

RevEdge may update these Terms from time to time.

Customers will be notified of material changes at least 30 days prior to the effective date.

Continued use of the platform constitutes acceptance of the revised Terms.
